1. Parties & definitions
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and MineledgerAI (“Company”, “we”, “us”, “our”), operating the product HirePathPro (“Service”), accessible at mineledgerai.com and related domains.
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.
2. Eligibility
- You must be at least 16 years of age to use the Service. If you are between 16 and 18 (or the age of majority in your jurisdiction), you must have parental or guardian consent.
- By using the Service, you represent and warrant that you meet these eligibility requirements.
- The Service is not directed at children under 16. We do not knowingly collect data from anyone under 16 (see our Privacy Policy).
3. Description of service
HirePathPro provides AI-assisted resume analysis, interview preparation, and offer negotiation tools. You upload your resume and/or job posting information, and the Service generates tailored recommendations, interview questions, and market-data-driven negotiation insights.
Important: The Service uses automated processing, including third-party AI models, to generate its outputs. Results are algorithmic recommendations — not professional career counseling, legal advice, or guaranteed employment outcomes. You should exercise your own judgment before acting on any recommendation.
4. Accounts & security
- You must provide accurate, current, and complete information when creating your account.
- You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- One natural person per account. Account sharing, selling, or transferring is prohibited.
- You must notify us immediately at contactus@mineledgerai.com if you suspect unauthorized access to your account.
5. User content & license
“User Content” means any resumes, documents, job descriptions, text, or other materials you upload or input into the Service.
- Ownership: You retain all ownership rights in your User Content.
- License grant: By uploading User Content, you grant the Company a limited, non-exclusive, non-transferable, revocable license to process, analyze, and store your User Content solely to provide, maintain, and improve the Service.
- No training: We do not use your User Content to train our own proprietary models. Your content is sent to third-party AI providers solely for real-time processing and is subject to their data processing terms.
- Representations: You represent that you have the right to upload all User Content and that it does not infringe any third party's intellectual property, privacy, or other rights.
6. Tokens, billing & subscriptions
The Service operates on a token-based system. Each action (analysis, interview prep, negotiation research, chat message) consumes one token.
- Free tier: New accounts receive a one-time grant of free tokens. Free tokens do not expire but do not refill.
- Paid subscriptions: Pro and Pro+ plans provide a monthly token allowance and additional features. Subscriptions auto-renew at the end of each billing cycle unless cancelled.
- Top-up packs: Available only to active subscribers. Purchased tokens do not expire.
- Pricing changes: We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect on their next billing cycle.
- Payment processing: All payments are processed securely by Stripe, Inc. We do not store your full credit card details. Your use of Stripe is subject to their terms of service.
7. Cancellation & refunds
- You may cancel your subscription at any time from your account settings or by emailing contactus@mineledgerai.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Subscription fees are non-refundable except where required by applicable law or at our sole discretion.
- Token top-up purchases are non-refundable once tokens have been credited to your account.
- If you believe you were charged in error, contact us within 14 days and we will investigate.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose.
- Upload content that infringes on any third party's intellectual property, privacy, or other rights.
- Upload malicious code, viruses, or harmful data.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Scrape, crawl, or use automated means to access the Service beyond its intended interfaces.
- Circumvent rate limits, authentication, or security measures.
- Resell, sublicense, or redistribute the Service or its outputs as a competing product.
- Impersonate another person or entity.
- Use the Service to generate misleading or fraudulent resume content.
We reserve the right to suspend or terminate your account immediately, without notice, for violations of this section.
9. Intellectual property
- The Service — including its design, code, algorithms, branding, logos, and documentation — is owned by MineledgerAI and protected by copyright, trademark, and other intellectual property laws.
- Analysis results, interview questions, and negotiation insights generated for you are licensed for your personal, non-commercial use.
- Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.
10. Third-party services & AI disclosure
The Service relies on third-party providers to deliver functionality:
- AI processing: Resume analysis, interview prep, and negotiation insights are generated using third-party AI language models. Outputs are probabilistic and may contain inaccuracies.
- Authentication & storage: Google Firebase for user authentication and data storage.
- Payments: Stripe, Inc. for payment processing.
- Error monitoring: Sentry for application error tracking.
We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of such services is subject to their respective terms and privacy policies.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure;
- The results or recommendations will be accurate, complete, or suitable for any particular purpose;
- Any defects will be corrected;
- Use of the Service will result in interviews, job offers, or any specific employment outcome.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Company, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
- Our total aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.
- These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service;
- Your violation of these Terms;
- Your violation of any third-party rights, including intellectual property or privacy rights;
- Any User Content you upload or transmit through the Service.
14. Termination
- By you: You may delete your account at any time by contacting contactus@mineledgerai.com. Active subscriptions must be cancelled before account deletion; no prorated refunds will be issued unless required by law.
- By us: We may suspend or terminate your account immediately, with or without notice, if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also discontinue the Service entirely with 30 days' notice.
- Effect of termination: Upon termination, your right to use the Service ceases immediately. Sections 5 (license grant), 9 (IP), 11 (disclaimers), 12 (liability), 13 (indemnification), 15 (governing law), and 16 (dispute resolution) survive termination.
15. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you are a consumer in the European Economic Area (EEA) or the United Kingdom, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
16. Dispute resolution
Informal resolution first: Before filing any legal claim, you agree to contact us at contactus@mineledgerai.com and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration: If informal resolution fails, any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted on an individual basis — class actions, class arbitrations, and representative actions are not permitted.
Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access.
Opt-out: You may opt out of this arbitration provision by sending written notice to contactus@mineledgerai.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts in Delaware.
17. Changes to terms
We may modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on this page and updating the “Last updated” date, and for material changes, by notifying you via email. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and close your account.
18. General provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
- Force majeure: We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
- Notices: We may send you notices via the email address associated with your account. You are responsible for keeping your email address current.
